1. The Service
AdaSignal AI provides a research and outreach platform for B2B commercial lenders. The Service uses public records (including UCC, FMCSA, secretary-of-state filings, and court records), government and regulatory filings (for example, licensing boards, FMCSA, and the SEC), and publicly available first-party business information, such as company websites, plus licensed providers only when a customer opts in. The Service includes contact-management, pipeline, dialer, email, analytics, and related tooling.
The Service is provided on an "as is" and "as available" basis. We do not warrant that any specific data point — including any phone number, email address, owner identification, or filing record — is current, accurate, or complete. You are responsible for independently verifying any information before relying on it for a business decision.
2. Permitted use
You may use the Service only for lawful B2B commercial purposes, including researching prospective business borrowers for commercial credit, equipment finance, factoring, MCA, SBA lending, hard-money lending, and similar B2B finance products; identifying and contacting business owners and decision-makers about commercial financial products and services; and maintaining a sales pipeline and CRM for your business.
You may NOT use the Service for any decision regulated by the Fair Credit Reporting Act (consumer credit, employment, tenancy, insurance, government benefits); marketing consumer products or services to individuals; stalking, harassing, doxxing, or otherwise harming any individual; contacting any individual whose number appears on the National Do Not Call Registry without the required prior express written consent or established business relationship; mass-calling or mass-texting cell phones using automated dialing or pre-recorded messages without TCPA-compliant consent; sending email that violates CAN-SPAM, California Bus & Prof Code §17529.5, or similar laws; reselling, sublicensing, or republishing the underlying data outside of the Service; or reverse-engineering, scraping, or attempting to extract bulk data from the Service.
3. Your compliance responsibilities
You acknowledge and agree that AdaSignal AI is a tool you use to conduct your own outreach. You — not AdaSignal AI — are the sender of every call, SMS, and email initiated through the platform. You are solely responsible for TCPA compliance (including obtaining prior express written consent before placing autodialed or pre-recorded calls or texts to wireless numbers); maintaining and scrubbing your dialing list against the National Do Not Call Registry and applicable state DNC lists; CIPA and equivalent two-party-consent laws if you record any call; CAN-SPAM Act compliance, including a valid physical postal address and a working unsubscribe mechanism in every commercial email (the Service inserts both automatically when you use the email-send feature); California Bus & Prof Code §17529.5 and any state-level email laws; honoring all opt-out requests within the timeframes required by applicable law; and maintaining your own privacy policy describing your collection and use of data obtained through the Service.
4. Subscriptions, billing, and cancellation
Plans, prices, and included enrichment quotas are listed on adasignal.ai/pricing. By subscribing you authorize AdaSignal AI (and its payment processor, Stripe) to charge your payment method on a recurring basis at the applicable rate until you cancel.
Subscriptions automatically renew at the end of each billing period unless cancelled. You may cancel any time from inside your workspace billing page; cancellation takes effect at the end of the current paid period and you retain access until then.
Enrichment overages beyond your plan's included quota are charged at the per-lead overage rate listed on the pricing page. Overages are billed on the next monthly invoice.
We do not offer refunds for partial billing periods, unused enrichment credits, or for general dissatisfaction. We will issue a refund where required by applicable law or in cases of clear platform error (duplicate charge, charge after cancellation, etc.).
5. Data sources and accuracy
AdaSignal AI researches businesses using (a) public records, (b) government and regulatory filings (for example, licensing boards, FMCSA, and the SEC), and (c) publicly available first-party business information, such as company websites. We never use breach data. We do not use data brokers or people-search providers unless a customer chooses to add a licensed provider as an opt-in add-on; that data is used only for that customer, under the provider's terms. We do not guarantee the accuracy, currency, or completeness of any individual data point.
If you believe a specific record is inaccurate or you wish a specific business or individual to be excluded from the Service, contact hello@aidaddy.io. We will review the request and remove or correct records where appropriate.
6. Intellectual property
The Service, including all software, design, content, and trademarks, is owned by AdaSignal AI or its licensors. You receive a limited, non-exclusive, non-transferable license to access and use the Service for the duration of your subscription, solely for the permitted uses described above.
You retain ownership of the data you upload (your CSVs, your notes, your custom fields). You grant AdaSignal AI a license to host, process, and display your data solely for the purpose of providing the Service to you.
7. Disclaimers and limitation of liability
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ADASIGNAL AI'S TOTAL LIABILITY UNDER OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID ADASIGNAL AI IN THE TWELVE MONTHS PRECEDING THE CLAIM.
ADASIGNAL AI IS NOT LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST DATA. NOTHING IN THESE TERMS LIMITS ANY LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
8. Indemnification
You agree to indemnify, defend, and hold harmless AdaSignal AI, its operators, and its agents from any claim, demand, loss, liability, damage, fine, or expense (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any law (including TCPA, CAN-SPAM, FCRA, CIPA, GDPR, or state equivalents), or (d) any communication you initiate through the Service.
9. Termination
You may stop using the Service at any time and cancel your subscription. We may suspend or terminate your access immediately if we reasonably believe you have violated these Terms, applicable law, or the rights of any third party. On termination your right to use the Service ends. We may retain your account data for a reasonable period for backup, audit, and legal-compliance purposes.
10. Governing law and disputes
These Terms are governed by the laws of the State of California, excluding its conflict-of-laws rules. Any dispute arising under these Terms will be resolved in the state or federal courts located in Orange County, California, and you consent to the personal jurisdiction of those courts.
